Before applying, accepting, or using any RapidsSL or FreeSSL certificate (collectively called the "CERTIFICATE") from RapidsSSL/FReeSSL, please read and carefully consider this Subscription Agreement ("SUBSCRIBER AGREEMENT"). As the customer of a Web Host (as defined here), you represent and warrant that it has your authorization to apply, accept, install, maintain and if necessary initiate revocation on your behalf for a certificate from GEOTRUST. By authorizing them to do so on your behalf you also acknowledge you agree to all the terms contained within this SUBSCRIBER AGREEMENT; by accepting or using it you accept to abide by its conditions; any time someone other than yourself uses your certificate you accept their terms by accepting it all or using one yourself you accept to agreeing by them you bind yourself by these SUBSCRIBER AGREEMENT terms unless disagreeing do contact GEOTRUST immediately using one of their telephone numbers listed within. If You Are Web Host Applying as Authorized Agent on Behalf Of Customers In Applying for Cert, This Subscrber Agreement Applies Completely; However SECTION 8.3 Doesn't Affect
1. Definitions. In this Agreement, capitalized terms have the following definitions. Any reference to singular includes plural as appropriate.
"Authenticate" or "Authentification" refers to actions undertaken by CAs to verify: (i) that the Subscriber is entitled to use any domain listed in a Certificate Application containing one; (ii) the organization associated with Subscriber exists, has authorized this Certificate Application submission, and (iv) any person acting on its behalf has authorization from Subscriber to submit this application for certificate issuance.
Certificate Applicants" refers to anyone or any organization seeking the issuance of certificates by Certificate Authorities (CAs), except when acting through GeoTrust Reseller portal for its customer and acting on their behalf, Web Host will then act on their customer's behalf and be considered the Certificate Applicant instead.
An application for a Certificate is an official request made from either an Individual (or their authorized agent) to CA for issuing of Certificate(s).
GeoTrust and any of its authorized entities shall serve as certification authorities ("CA") that issue, manage, revoke and renew certificates within GeoTrust PKI.
"Common Name" or CN refers to domain names used with SSL Certificates such as www.domainname.com.
"Compromise" shall refer to any loss, theft, disclosure, modification or use that compromises the security of a private key.
Definition of Derivative Work
"Device" shall refer to any hardware appliance or software application - such as server load balancing software and SSL accelerator - which enables electronic data routing from one point on a network to other single or multiple points on that same network.
"Domain" shall refer to any domain, host name or IP address assigned to a server and/or Device accessible from the Internet (publicly facing), owned by its Subscriber of a GeoTrust SSL Certificate and accessible publicly via public means (Internet-facing).
GeoTrust CPS" refers to the GeoTrust Certification Practice Statement applicable to each SSL certificate service obtained, which may be found and updated from time-to-time on Repository.
GeoTrust Intellectual Property Rights shall have the meaning set out in Section 10.
"GeoTrust PKI" refers to GeoTrust's public key infrastructure which offers certificates to individuals and organizations alike.
"Intranet Server" refers to any device not accessible via the Internet that contains either an internal server name or IP address that falls in one of three IP ranges: 10.0.0.0-10.255.255.255; 172.16.0- 172.31.255.255 or 192.168.0.0-192.168.255.255).
"Registration Authority" or RA, shall refer to an individual or entity recognized by CA as being capable of performing authentication services for subscribers seeking certificates as well as reviewing applications submitted for these certificates, making decisions on applications submitted, revoking certificates issued previously or renewing existing ones.
"Relying Party" refers to any individual or entity which acts upon an issued Certificate/Signature digitally signed certificate as its basis of actions taken.
"Relying Party Agreement" refers to any agreement used by a Certification Authority which specifies the terms and conditions under which an individual or organization acts as Relying Partie, such as GeoTrust Relying Party Agreements that can be found within their Repository.
"Repository" refers to the collection of documents stored at a link accessible from the home page of the website where your Certificate application was accepted.
"Seal" refers to an electronic image featuring the GeoTrust mark which, when displayed by you on your website, indicates to visitors that you have purchased GeoTrust services; when such visitors click it, a splash page displays providing more detail as to which GeoTrust services you purchased and whether these remain active.
"SSL" shall refer to an industry-standard method developed by Netscape Communications Corporation that protects Web communications using encryption, server authentication, message integrity verification and optional client authentication when connecting using Transmission Control/Internet Protocol connections.
"Servers" refers to any computer or device on a network which manages network resources, including Web, email, file or application servers.
"Subject" refers to any person holding both private and public keys corresponding to each other, assigned a unique name in connection with his/her Certificate containing public key(s).
"Subscriber" refers to organizations which own equipment or devices subject to and have received certificates issued from Certificate Authorities. Subcribers can utilize and are authorized to utilize both public key listed in their certificate as well as private key listed there; providing however that an entity acting as Web Host who submits Certificate Applications on behalf of their customers while managing lifecycle processes of those certificates isn't actually considered the Subscriber - rather, its customers themselves serve as subscribers under appropriate Subscriber Agreements and should therefore take on responsibility for fulfilling all applicable Subscriber obligations set out therein.
"Web Host" refers to any entity providing web services on behalf of another, including but not limited to ISPs, systems integrators, resellers, technical consultants and similar.
"Wildcard Certificate" refers to an SSL Certificate which contains an asterisk ("*") at the leftmost element in its Common Name, each one representing an individual subdomain. In that leftmost element text may exist to either side of it but not on either side of * symbol.
2. Description of the Certificate. This Section sets forth the terms and conditions pertaining to your Certificate Application with GeoTrust/RA, should it be accepted, and your use as the "Subscriber" of that certificate issued from GeoTrust by GeoTrust. Certificates issued under this Subscriber Agreement will be stored in GeoTrust's Public Key Infrastructure. Your organization does not currently possess an authenticated Certificate in GeoTrust PKI. These certificates are distributed to Devices as a method to validate domains (unless issued to an intranet server); message, software and content integrity and confidentiality encryption. Certificates issued for domains provide assurances regarding their validity (except when issued to Intranet Servers ) and that an administrator of said domain authorized the Certificate Application process; no organization authentication process takes place on owners of domains.
3. Processing the Certificate Application & Re-Issues. Upon GeoTrust's receipt of the necessary payment and upon completion of Authentication procedures required for the Certificate you have purchased, GeoTrust will process your Certificate Application, and GeoTrust will notify you whether your Certificate Application is approved or rejected. If your Certificate Application is approved, GeoTrust will issue you a Certificate for your use in accordance with this Subscriber Agreement. After you pick up or otherwise install your Certificate, you must review the information in it before using it and promptly notify GeoTrust of any errors. Upon receipt of such notice, GeoTrust may revoke your Certificate and issue you a corrected Certificate.
4. Use Restrictions. You are prohibited from using your Certificate: (i) for or on behalf of any other organization; (ii) to perform private or public key operations in connection with any Domain and/or organization name other than the one(s) submitted by you on your Certificate Application; and (iii) for use as control equipment in hazardous circumstances or for uses requiring fail-safe performance such as the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control systems, or weapons control systems, where failure could lead directly to death, personal injury, or severe environmental damage. If you choose to display the Seal, you must install and display such Seal only in accordance with the GeoTrust Seal License Agreement and any other terms and conditions as may be posted on the GeoTrust Web site.
5. Revoking of Revocation Order. If you suspect there has been an unauthorized compromise of either your private key, its activation data, or information within your Certificate which has changed, or if your organizational name and/or Domain registration have changed - either as the result of theft, breach of agreement, or another act by GeoTrust itself - within 48 hours, notify both GeoTrust and all third-parties who depend on that Certificate to provide services, as soon as possible and request its cancellation and recall by GeoTrust and request its withdrawal as quickly as possible. GeoTrust reserves the right to cancel that Certificate immediately if payment of invoice isn't received within 45 days or any time without prior notification to GeoTrust itself; GeoTrust reserves the right to suspend/revoke Certificate without further warning if either GeoTrust determines it necessary due to compliance issues regarding compliance related with its own requirements or (ii). GeoTrust reserves all right of revovling and revoking of Certificate in relation to one or more than 45 days since receiving invoice; GeoTrust reserves all right of revoking Certificate at anytime without prior notice in case an invoice from GeoTrust goes unpaid). GeoTrust may revoke or suspend your Certificate(s) should they discover that its content has become invalid; you fail to meet your obligations under this Subscriber Agreement; or they feel you have engaged in activities they deem detrimental to GeoTrust PKI.
6. Obligations upon Expiry or Revocation. Upon expiration or notice of revocation of your Certificate, it shall be removed permanently from all devices on which it was installed and will no longer be used for any purpose thereafter; additionally if a Seal was installed but no GeoTrust services exist to permit you to post it online then any seal should also be taken down immediately from Web sites hosting it.
7. Third-Party Service Providers. GeoTrust may share your Certificate Application and enrollment data with third-party service providers who may contact you directly about their offerings. If so, GeoTrust may share it. By providing GeoTrust with your Certificate Application and enrollment data, you agree that they can disclose it directly to these third-party service providers who may contact you regarding their services directly. GeoTrust provides more details regarding their data processing in its Privacy Policy, but any terms and conditions related to any third-party service providers shall be communicated directly by them unless stated herein otherwise. GeoTrust disclaims any warranty whatsoever with regards to these products as provided herein and refuses any obligation owed on GeoTrust's part in relation thereto.
All liability will be assumed and no partial refunds shall be offered on services rendered by third parties.
8. Representations and Warranties.
8.1 GeoTrust Representations and Warranties. GeoTrust represents and warrants to you that: (i) there are no errors introduced by GeoTrust in your Certificate information as a result of GeoTrust's failure to use reasonable care in creating the Certificate; (ii) your Certificate complies in all material respects with the GeoTrust CPS; and (iii) GeoTrust's revocation services and use of the Repository conform to the GeoTrust CPS in all material aspects.
8.2 Your Representations and Warranties. You represent and warrant to GeoTrust and anyone who relies on your Certificate that: (i) all the information you provide and all the representations you make to GeoTrust in your Certificate Application are accurate; (ii) you will inform GeoTrust if the information you provided and all the representations you made to GeoTrust in your Certificate Application changed or is no longer valid; (iii) no Certificate information you provided (including your e-mail address) infringes the intellectual property rights of any third parties; (iv) the Certificate Application information you provided (including your email address) has not been and will not be used for any unlawful purpose; (v) you have been (since the time of its creation) and will remain the only person possessing your private key and no unauthorized person has had or will have access to your private key; (vi) you have been (since
the time of its creation) and will remain the only person possessing any challenge phrase, PIN, software, or hardware mechanism protecting your private key and no unauthorized person has had or will have access to the same; (vii) you will use your Certificate exclusively for authorized and legal purposes consistent with this Subscriber Agreement; (viii) you will use your Certificate as an end-user Subscriber and not as a Certification Authority issuing Certificates, certification revocation lists, or otherwise; (ix) each digital signature created using your private key is your digital signature, and the Certificate has been accepted and is operational (not expired or revoked) at the time the digital signature is created; and (x) you manifest assent to this Subscriber Agreement as a condition of obtaining a Certificate; and (xi) you will not monitor, interfere with, or reverse engineer (save to the extent that you can not be prohibited from
so doing under applicable law) the technical implementation of the GeoTrust PKI, except with the prior written approval from GeoTrust, and shall not otherwise intentionally compromise the security of the GeoTrust PKI. You further represent and warrant that you have sufficient information to make an informed decision as to the extent to which you choose to rely on the information in a digital certificate issued within the GeoTrust PKI, that you are solely responsible for deciding whether or not to rely on such information, and that you shall bear the legal consequences of your failure to perform any obligations you might have as a Relying Party under the applicable Relying Party Agreement.
8.3 Web Host Representations and Warranties. Web Host represents and warrants to GeoTrust and anyone who relies on its customer's Certificate that: (i) it has the authority of its customer to enter into this Subscriber Agreement on its customer's behalf and to bind its customer to the terms and conditions of this Subscriber Agreement; (ii) it shall procure its customer's compliance with the terms and conditions of this Subscriber Agreement; (iii) any customer information it includes in the Certificate Application shall be the exact information provided to it by such customer; (iv) any of its information in the Certificate Application is accurate and true; (v) no Certificate information it provided (including email address) infringes the intellectual property rights of any third parties; (vi) it has been (since the time of such key's
creation) and will remain the only person possessing its customer's private key and any challenge phrase, PIN, software, or hardware mechanism protecting its private key and no unauthorized person has had or will have access to such private key; (vii) it will use its customer's Certificate as set forth hereunder; (viii) it will use its customer's Certificate as a Subscriber and not as a Certification Authority issuing Certificates, certification revocation lists, or otherwise; (ix) each digital signature created using its customer's private key is its customer's digital signature, and the Certificate has been accepted and is operational (not expired or revoked) at the time the digital signature is created; and (x) it will not monitor, interfere with, or reverse engineer (save to the extent that it can not be prohibited from so doing under applicable law) the technical implementation of the GeoTrust PKI, except with the prior written approval from GeoTrust, and shall not otherwise intentionally compromise the security of the GeoTrust PKI. Web Host further represents and warrants that it has sufficient information to make an informed decision as to the extent to which it chooses to rely on the information in a digital certificate issued within the GeoTrust PKI, that it is solely responsible for deciding whether or not to rely on such information, and that it shall bear the legal consequences of its failure to perform any obligations it might have as a Relying Party under the applicable Relying Party Agreement.
9. Fees, Payments and the Terms of Service. As consideration for purchasing your Certificate and associated services through GeoTrust, you agree to pay our website-listed service(s) fees either when selecting them, or in some instances immediately upon receiving our invoice(s). Fees are due immediately and nonrefundable, except as expressly noted below in this Subscriber Agreement. GeoTrust Services may renew under our then current terms and conditions, including, without limitation, successful completion of any applicable authentication procedure and payment of all applicable service fees at renewal time. GeoTrust will notify you at least thirty (30) days in advance of renewal date of its services. Your credit card details provided to GeoTrust remain your sole responsibility, and any updates (e.g. change of expiration date or account number) should be promptly communicated back. Furthermore, only you are accountable for renewing services with us. GeoTrust shall have no liability towards you or any third parties related to this renewal process, including but not limited to any failure or error in renewing services. GeoTrust will pay all applicable value added, sales, or other taxes (other than income-based ones) related to its services or payments made by you under this Agreement. Any setup fees due for any applicable GeoTrust services become payable as soon as their effective dates arrive. Unpaid sums that remain outstanding beyond any applicable cure periods will incur late charges of 1.5% per month or the maximum allowable by law, whichever is lesser. Please be aware that this section does not apply if your Certificate was purchased from a Web Host.
10. Ownership. By accepting this Subscriber Agreement, you acknowledge that no title to GeoTrust Intellectual Property Rights will transfer to you and that any express or implied rights in regards to its or their licensor's services do not extend beyond what has been expressly provided for in this Subscriber Agreement. GeoTrust will own all derivative works (defined here as any work which derived from one or more preexisting works provided to you, including enhancement, modification, revision, translation, adaptation or transformation such as enhancement or modification by revision; translation; adaptation through collection compilation etc); such rights will veer into GeoTrust without obligation on our part to grant rights or privileges over such Derivative Works to anyone else.
No reverse engineering, disassembling, decompiling or attempts at obtaining source code of GeoTrust Intellectual Property are allowed unless prohibited under applicable laws. You have been given permission by this Subscriber Agreement to utilize your Certificate according to its terms.
11. Modification of Subscriber Agreement. No other agreement in this Subscriber Agreement supersedes this provision: during its term, GeoTrust reserves the right to review or amend this Subscriber Agreement's terms and conditions as necessary; or modify part of its services at any point during its existence. GeoTrust will implement any revision or change thirty (30) days following their posting to their websites or notification by email to you, with binding effect immediately thereafter. GeoTrust requires you to regularly review their Web sites, including any revisions of this Subscriber Agreement that might occur there, so as to stay aware of any updates that could impact you as an account holder. If any modifications to the Subscriber Agreement do not meet with your approval, you can terminate it at any time simply by giving GeoTrust notice; your notice of termination will take effect when received and processed by GeoTrust. Your fees, should you choose to terminate this Subscriber Agreement are nonrefundable; by continuing to use GeoTrust services after any revision to or change in service(s), you agree to abide and abide by such revisions or modifications. GeoTrust does not bind or depend upon any representation made by any agent, employee or representative of any third-party that you use when applying for our services; or by information posted on our Web site that is general in nature. No employee, contractor agent representative of GeoTrust are authorized to alter or amend these Subscriber Agreement terms or conditions in any manner whatsoever.
12. Confidentiality. Your information and data will be processed according to these conditions: GeoTrust will treat and process any information provided in your Certificate Application in accordance with their privacy statement ("GeoTrust Privacy Statement" or "Privacy Statement", as updated from time-to-time), accessible from the homepage of the website from which you registered for your Certificate. GeoTrust may include in your Certificate the information submitted in its Certificate Application process. GeoTrust may publish your Certificate and its status information in its Repository; and use such data in accordance with this Agreement and GeoTrust Privacy Statement. Resellers acting on behalf of their customer warrant that they possess all required authorization (and consents) in order to disclose customer data to GeoTrust. As part of your Certificate Application, GeoTrust may process or transfer any personal data provided to us in the US and any other jurisdiction where GeoTrust operates. For more details on our customer data processing practices please review our applicable Privacy Statements.
13. Refund Policy. GeoTrust shall provide refunds pursuant to its Refund Policy published on its Web site.
14. Disclaimers of Warranties. YOU AGREE THAT YOUR USE OF GEOTRUST'S SERVICE(S) IS SOLELY AT YOUR OWN RISK. YOU AGREE THAT ALL SUCH SERVICES ARE PROVIDED ON AN "AS IS" AND AS AVAILABLE BASIS, EXCEPT AS OTHERWISE NOTED IN THIS SUBSCRIBER AGREEMENT. GEOTRUST EXPRESSLY DISCLAIMS ALL REPRESENTATIONS, WARRANTIES, GUARANTEES, TERMS OR CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED THOSE OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY AND NONINFRINGEMENT. OTHER THAN THE REPRESENTATIONS AND WARRANTIES AS SET FORTH IN SECTION 8, GEOTRUST DOES NOT MAKE ANY REPRESENTATION, WARRANTY, GUARANTEE, TERM,
OR CONDITION THAT ANY SERVICE WILL MEET YOUR REQUIREMENTS, OR THAT ANY SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR FREE; NOR DOES GEOTRUST MAKE ANY REPRESENTATION, WARRANTY, GUARANTEE, TERM OR CONDITION AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE OR TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH GEOTRUST'S SERVICE. YOU UNDERSTAND AND AGREE THAT ANY MATERIAL AND/OR DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF GEOTRUST'S SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK. TO THE EXTENT
JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN REPRESENTATIONS, WARRANTIES OR GUARANTEES, SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. GEOTRUST IS NOT RESPONSIBLE FOR AND SHALL HAVE NO LIABILITY WITH RESPECT TO ANY PRODUCTS AND/OR SERVICES PURCHASED BY YOU FROM A THIRD PARTY.
15. Indemnity. You agree to release, indemnify, defend and hold harmless GeoTrust and any of its contractors, agents, employees, officers, directors, shareholders, affiliates and assigns from all liabilities, claims, damages, costs and expenses, including reasonable attorney's fees and expenses, of third parties relating to or arising out of: (i) this Subscriber Agreement or the breach of your warranties, representations and obligations under this Subscriber Agreement; (ii) falsehoods or misrepresentations of fact by you on the Certificate Application;, (iii) any infringement of an intellectual property or other proprietary right of any person or entity arising from any information or content provided by you; (iv) failure to disclose a material fact on the Certificate Application if the misrepresentation or omission was made negligently or with intent to deceive any party; or (v) failure to protect the private key, or use a trustworthy system, or to take the precautions necessary to prevent the compromise, loss, disclosure, modification or unauthorized use of the private key under the terms of this Subscriber Agreement. When GeoTrust is threatened with suit or sued by a third party, GeoTrust may seek written assurances from you concerning your promise to indemnify GeoTrust, your failure to provide those assurances may be considered by GeoTrust to be a material breach of this Subscriber Agreement. GeoTrust shall have the right to participate in any defense by you of a third-party claim related to your use of any GeoTrust services, with counsel of GeoTrust's choice at your own expense. You shall have sole responsibility to defend GeoTrust against any claim, but you must receive the prior written consent of GeoTrust regarding any related settlement. The terms of this Section 15 will survive any termination or cancellation of this Subscriber Agreement. As a Relying Party, you further agree to release, indemnify, defend and hold harmless GeoTrust and any of its contractors, agents, employees, officers, directors, shareholders, affiliates and assigns from all liabilities, claims, damages, costs and expenses, including reasonable attorney's fees and expenses, of third parties relating to or arising out of: (i) your failure to perform the obligations of a Relying Party as set forth in the applicable Relying Party Agreement; (ii) your reliance on a certificate that is not reasonable under the circumstances; or (iii) your failure to check the status of such certificate to determine whether the certificate is expired or revoked.
16. Limitations of Liability. THIS SECTION 16 APPLIES TO LIABILITY UNDER CONTRACT (INCLUDING BREACH OF WARRANTY), TORT (INCLUDING NEGLIGENCE AND/OR STRICT LIABILITY), AND ANY OTHER LEGAL OR EQUITABLE FORM OF CLAIM. IF YOU INITIATE ANY CLAIM, ACTION, SUIT, ARBITRATION, OR OTHER PROCEEDING RELATING TO SERVICES PROVIDED UNDER THIS SUBSCRIBER AGREEMENT, TO THE EXTENT PERMITTED BY APPLICABLE LAW, GEOTRUST SHALL NOT BE LIABLE FOR: (I) ANY LOSS OF PROFIT, BUSINESS, CONTRACTS, REVENUE OR ANTICIPATED SAVINGS; OR (II) ANY INDIRECT OR CONSEQUENTIAL LOSS. GEOTRUST'S TOTAL LIABILITY FOR DAMAGES SUSTAINED BY YOU AND ANY THIRD PARTY FOR ANY USE OR RELIANCE ON A
CERTIFICATE SHALL BE LIMITED, IN THE AGGREGATE, TO TWO TIMES THE AMOUNT PAID FOR THE CERTIFICATE. THE LIABILITY LIMITATIONS PROVIDED IN THIS SECTION 16 SHALL BE THE SAME REGARDLESS OF THE NUMBER OF DIGITAL SIGNATURES, TRANSACTIONS, OR CLAIMS RELATED TO SUCH CERTIFICATE. TO THE EXTENT JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN LIABILITY LIMITATIONS, SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
17. Force Majeure. Except for payment and indemnity obligations hereunder, neither party shall be deemed in default hereunder, nor shall it hold the other party responsible for, any cessation, interruption or delay in the performance of its obligations hereunder due to earthquake, flood, fire, storm, natural disaster, act of God, war, armed conflict, terrorist action, labor strike, lockout, boycott or other matter outside its reasonable control, provided that the party relying upon this Section 17 shall: (i) have given the other party prompt written notice thereof; and (ii) take all steps reasonably necessary to mitigate the effects of the force majeure event; provided further, that in the event a force majeure event described in this Section 17 extends for a period in excess of thirty (30) days in aggregate, the other party may immediately terminate this Subscriber Agreement.
18. Compliance with Law, Export Requirements, and Foreign Reshipment Liability. Both parties shall comply with all applicable federal, state and local laws, regulations, and export requirements in connection with their obligations under this Agreement. Without limiting the generality of the foregoing, each party agrees to comply with all export requirements (“Export Control”). Regardless of any disclosure you make to GeoTrust of an ultimate destination of any Certificates, software, hardware, or technical data (or portions thereof) supplied by GeoTrust (“GeoTrust Technology”) and, notwithstanding anything contained in this Agreement to the contrary, you will not: (i) modify, export, or re-export, either directly or indirectly, any GeoTrust Technology to any destination restricted or prohibited by Export Control, without first obtaining any and all necessary licenses from the United States government or any other country that imposes Export Control; (ii) provide GeoTrust Technology to any proscribed party on the United States Treasury Department’s Office of Foreign Asset Control list of “specially designated nationals and blocked persons”, the United States Commerce Department’s “denied parties list”, the United States Commerce Departments “BIS Entity List” or such other applicable lists; or (iii) export or re-export GeoTrust Technology, directly or indirectly, for nuclear, missile, or chemical/biological weaponry end uses prohibited by Export Control. GeoTrust shall have the right to suspend performance of any of its obligations under this Agreement, without any prior notice being required and without any liability to you, if you fail to comply with this provision.
19. Severability. By accepting these Subscriber Agreement terms as being severable, you acknowledge their legal effect: any term or provision declared invalid or unenforceable does not affect its remainder; instead it will be amended accordingly, to meet applicable legal standards while respecting original intentions as best as possible; all remaining terms will continue their full force and effect.
20. Governing Law. This Agreement and any disputes concerning its services provided hereunder shall be interpreted according to any one of the following laws, without regard to their conflicts of law provisions: (a) California Law for North and Latin America residents; or b England's Common Law (excluding London as applicable ) for Europe Middle East Africa as applicable or Singapore Laws in regards to Asia Pacific including Japan based residents if located there; The UN Convention for Contracts for the International Sale of Goods shall not apply in regards to this Agreement
21. Dispute Resolution. As required by law, before initiating legal proceedings or administrative claims with regards to any aspect of this Agreement that you find contentious, notify GeoTrust (and all parties involved in the dispute) with an aim of finding an amicable resolution via business discussions; should these efforts fail within sixty (60) days after initial notice is given either party may proceed according to applicable laws as specified here.

23. Non-Assignment. You are not entitled to assign the rights granted under or this Agreement in whole or in part whether by operation of contract, law or other means without first receiving GeoTrust's express written approval which shall not be withheld unreasonable. This consent cannot be delayed.
24. Notices and Communications. Any notice, demands or requests sent to GeoTrust under this Subscriber Agreement must be delivered in writing to the "Contact" address listed on the website where your Certificate was purchased with a copy sent directly to: General Counsel-Legal Department at 350 Ellis Street Mountain View California USA 94043. Telephone numbers used here refers to 1-650-527-8000 only.
25. Entire Agreement. Together, this Subscriber Agreement, GeoTrust Seal License Agreement (if you choose to display one), and, for Web Hosts, their Web Host agreement with GeoTrust represent our complete understanding and agreement pertaining to any transactions contemplated and supersedes any and all prior or contemporaneous oral or written representation, understanding or communication pertaining to subject matter hereof that was made prior. Neither party relies upon warranties, representations, assurances or inducements not specifically set out herein; section headings are for convenience of reference only and do not form part of our relationship unless specified herein. Section headings should not be read literally but are for ease of reference only and do not signify anything definitive.
Terms and conditions found on purchase orders that do not come under this Subscriber Agreement or that conflict with it shall not apply and become null and void.
